2. Scope of Services

2.1. Subscription-Based Services
   - Clients are billed monthly and provided with ongoing support, updates, and access to selected application features.
   - Changes to subscription features will be notified 30 days in advance.

2.2. Custom Development Services
   - Custom applications are designed based on the agreed-upon specifications outlined in a separate written agreement.
   - The Company will use reasonable efforts to deliver applications in compliance with the agreed timeline, barring unforeseen circumstances.

3. Payments and Fees

3.1. Subscriptions are billed monthly. Payment must be made via the payment methods accepted on our Website.
3.2. Custom development services require an upfront deposit of 20% and milestone-based payments, as agreed separately.
3.3. Late payments may result in suspension or termination of Services.

4. Intellectual Property

4.1. Ownership of Deliverables
   - For subscription-based services, all intellectual property remains with the Company.
   - For custom development services, intellectual property rights are transferred to the Client upon full payment, except for any pre-existing tools or libraries owned by the Company.

4.2. Client License
   - The Client receives a non-exclusive, non-transferable license to use subscription-based services.

4.3. The Company retains the right to reuse generic components or frameworks used in development projects unless otherwise agreed in writing.

5. Liabilities and Warranties

5.1. The Company does not guarantee uninterrupted or error-free services. However, reasonable efforts will be made to address any issues promptly.
5.2. To the maximum extent permitted by law, the Company is not liable for:
   - Indirect, incidental, or consequential damages.
   - Loss of data or profits.

5.3. Liability is limited to the total amount paid by the Client for the Services during the six (6) months preceding the claim.

6. Confidentiality

6.1. Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of the Agreement.
6.2. Confidentiality obligations remain in effect for two (2) years following the termination of the Agreement.

7. Privacy and Data Compliance

7.1. The Company complies with EU GDPR regulations and other applicable international data protection laws.

8. Force Majeure

8.1. The Company is not liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, government actions, labor disputes, or internet outages.

9. Termination

9.1. Subscriptions may be canceled by the Client at any time. No refunds will be issued for partial months.
9.2. The Company reserves the right to terminate services for non-payment, breach of these Terms, or misuse of the Services.

10. Dispute Resolution and Governing Law

10.1. These Terms are governed by the laws of the European Union. Any disputes arising from these Terms will be resolved through arbitration, unless otherwise agreed.
10.2. For international Clients, the United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Amendments

The Company may amend these Terms by providing at least 30 days' notice. Continued use of the Services constitutes acceptance of the updated Terms.
